1. About JNI Agri

JNI Agri is a social enterprise incorporated in Ghana, engaged in agricultural advisory and the sourcing, verification, and delivery of certified soft commodities across West Africa. We connect smallholder farmers and local suppliers to institutional markets through transparent grading, verification, and compliance support.

2. Use of This Website

You may use the Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable Ghanaian or international laws
• Transmit unsolicited or unauthorised advertising or promotional material (including spam)
• Attempt to gain unauthorised access to any part of the Site or related systems
• Reproduce, duplicate, copy, or exploit Site content for commercial purposes without our prior written consent
• Submit false or misleading information through any registration or contact form on the Site
• Engage in conduct that disrupts, damages, or impairs the normal functioning of the Site

3. Registration and Submissions

Certain features may ask you to register or submit information as a farmer, supplier, trade partner, or partner organisation (including via our contact, registration, or partnership forms). Where you do so, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of any account credentials we issue to you
• Notify us promptly of any suspected unauthorised use of your account
• Accept responsibility for activity carried out under your account, where applicable

JNI Agri may suspend or terminate access where information is materially inaccurate or where these Terms are breached.

All content on the Site - including text, images, logos, graphics, data, and design elements - is owned by JNI Agri or its licensors and is protected by applicable copyright and intellectual property laws.

6. Commodity Information and Services

Information on the Site about commodities, programmes, pricing, availability, or services is provided for general information only and does not constitute a binding commercial offer. Actual trade, supply, and advisory engagements are governed by separate written agreements between JNI Agri and the relevant counterparty.

Unless expressly stated in a signed agreement, we do not guarantee commodity availability, pricing, delivery timelines, or market conditions.

7. Farmer and Supplier Registration

Farmers and suppliers who register through the Site or our field teams agree to provide accurate information about identity, farm location, and commodity output. Material misrepresentation may result in removal from our network and may affect benefits or payments in line with the relevant agreement.

8. Limitation of Liability

To the fullest extent permitted by Ghanaian law, JNI Agri shall not be liable for any indirect, incidental, special, or consequential loss arising from your use of - or inability to use - the Site or its content, including loss arising from reliance on information published on the Site.

Our total liability to you for any claim arising from use of the Site shall not exceed the amount (if any) paid by you to JNI Agri in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless JNI Agri, its directors, employees, and agents from claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Site.

10. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.

JNI Agri may modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site after changes constitutes acceptance of the revised Terms.
